Playbook Phases
Phase 1: The Initial Meeting (First 24 Hours)
Your objective in the first conversation is control, not countering.
Use this structure:
- Thank them for sharing the terms.
- Ask for everything in writing (cash, equity treatment, benefits end date, release deadline).
- Ask for review time.
- Do not negotiate live on that first call.

Phase 2: Package Analysis and Leverage Mapping
Before you counter, map leverage into three buckets:

This helps you avoid over-negotiating low-impact items while missing high-impact clauses.
The Tax Angle (Often Missed)
Severance is commonly withheld like supplemental wages. Negotiate structure, not just headline dollars:
- Split-year payments where appropriate
- Max eligible payroll deductions on final checks (for example 401(k), HSA, FSA plan mechanics)
- Clear withholding treatment by payment type
Frame it professionally:
\"I want the structure to be tax-efficient and operationally clean for both sides. Can we review payment timing and payroll treatment options?\"
Equity and RSU Priority: Negotiate Pro-Rata Vesting
For FI-focused professionals, equity can be the largest lever.
Do not limit your ask to salary weeks if you are near vesting.
Request:
- Pro-rata vesting through separation date
- Current-cycle acceleration where policy allows
- Extended exercise windows for options
In many cases, improved vesting treatment is worth more than incremental cash severance.
